Advanced Commercial Contract Drafting (Risk & Indemnity)

Date: Nov 26, 2026 - Nov 26, 2026

CPD hours: 2 Hours

Time: 10:00 - 12:00

Event Type: Webinar

Presenter: Nicolene Schoeman-Louw
Attorney

Commercial contracts are essential tools for allocating risk, defining obligations and protecting the interests of the parties involved

Overview

Commercial contracts serve as the primary legal and financial risk-allocation instruments in business transactions. A poorly structured indemnity or an ambiguous limitation of liability clause can leave an organisation exposed to unquantifiable financial losses, unenforceable claims and severe litigation risks.

In practice, negotiating these high-stakes provisions requires legal practitioners and commercial advisers to balance commercial objectives against legal enforceability under South African contract law. Practitioners must distinguish between void and voidable contracts, structure clear liability caps and carve-outs, align indemnities with actual risk exposure and ensure proper interaction with complementary provisions such as force majeure, insurance requirements and POPIA data protection obligations. Without a systematic review and drafting framework, organisations face substantial financial exposure, costly dispute resolution and potential regulatory non-compliance.

Join Nicolene Schoeman-Louw on 26 November 2026 from 10h00 to 12h00 for an intensive two-hour masterclass designed to equip you with practical contract-drafting techniques, indemnity structures and negotiation playbooks.
