COMPANIES ACT: PRACTICE NOTE ON DOCUMENTS FILED AND CHALLENGED SUCCESSFULLY

The Department of Trade, Industry & Competition has gazetted a practice note clarifying the status of documents filed with the Companies & Intellectual Property Commission (CIPC) – and successfully challenged.

According to the practice note:

  • any such document ‘is a nullity’ and shold be removed from the register, in keeping with sub-Regulation 168(7)
  • ‘nullified filings are void and have no legal force or effect’ and
  • the CIPC does not accept subsequent filings based on nullified documentation.
