COMPANIES ACT REGULATIONS: DOMICILIUM ET EXECUTANDI REQUIREMENTS UPDATED

The Department of Trade, Industry & Competition has gazetted a notice confirming that, since 1 July 2023, the Companies & Intellectual Property Commission has been permitted to send notices and documents to:

• the cell phone numbers and email addresses of directors and members of a company, close corporation or co-operative, and
• the email address of that company, close corporation or co-operative.

This is noting that:

• sub-section 6(10) of the Companies Act, 2008, as amended, provides for the electronic transmission of notices and documents on the understanding that they can be ‘conveniently printed by the recipient within a reasonable time and at a reasonable cost’, and that
• Annexure 3 to the 2011 regulations allows this if the person for whom a notice and/or document/s is intended has ‘an address for receiving electronic mail’.
