COMPANIES AMENDMENT BILLS: NCOP COMMITTEE CALLS FOR SUBMISSIONS

Please note: Later the same day, separate notices were posted on Parliament's website calling for submissions on each Bill.  

The NCOP Committee on Trade & Industry, Economic Development, Small Business Development, Tourism, and Employment & Labour has posted a notice on the main South African Government website calling for written submissions by 29 January 2024 on the two Companies Amendment Bills. Recently passed by the National Assembly, they are:

  • the Companies Amendment Bill’s ‘B’ version, and
  • the Companies Second Amendment Bill’s ‘B’ version

SA Legal Academy has regularly reported on both Bills. In summary, therefore:

  • Among other things, the Companies Amendment Bill seeks to ensure the full disclosure of executive pay packages – going some way towards addressing concerns about remuneration levels widely perceived to be excessive.
  • The Companies Second Amendment Bill seeks to give practical effect to Zondo State Capture Commission recommendations dealing with delinquency on the part of a company director.

At the time of writing the notice had not yet been posted on Parliament’s website, which is where committee calls for written submissions are usually published. In all likelihood, parliamentary hearings will take place when committees reconvene after the festive season.
