COMPETITION ACT: MERGER NOTIFICATIONS FOR HOSTILE TRANSACTIONS

The Department of Trade, Industry & Competition has gazetted draft guidelines on filing hostile transaction merger notifications under the Competition Act, 1998. The deadline for public comment is 16 February 2024.

The intention is to assist potential merger parties in a hostile transaction by providing guidance on the Competition Commission’s discretionary powers:

  • where permission is sought to file separate notifications, and
  • a decision is required on the commencement of related merger review timelines.
