COMPETITION COMMISSION: INTERNAL RESTRUCTURING GUIDELINES PUBLISHED

The Department of Trade, Industry & Competition had gazetted a notice announcing the finalisation of Competition Commission guidelines on internal restructuring. Released in draft form in January 2025 for public comment, the guidelines are intended to clarify:
- circumstances in which a transaction is likely to be deemed one constituting an internal restructuring and therefore not requiring notification to the Commission, and
- ‘the limited and narrow circumstances … (in which) a merger notification may be required’.
